These Terms of Service ("Terms") govern access to and use of the AWD.TECH website and the purchase of products from AWD.TECH.

For the purposes of these Terms, "AWD.TECH", "AWD", "we", "us" and "our" refer to:

By accessing the website, creating an account or placing an Order, you agree to these Terms.

1. DEFINITIONS

"Consumer" means a natural person acting for purposes outside their trade, business, craft or profession.

"Business Customer" means any person or entity acting for purposes related to a trade, business, craft or profession.

"Product" means any item supplied by AWD.TECH.

"Order" means a request submitted by a customer to purchase Products from AWD.TECH.

"Remanufactured Product" means a Product that has been professionally restored, rebuilt or remanufactured.

2. CONTRACT FORMATION

Submission of an Order constitutes an offer to purchase Products.

Receipt of an Order confirmation does not constitute acceptance of the Order.

A contract between AWD.TECH and the customer is formed only when AWD.TECH confirms dispatch of the Product or otherwise expressly accepts the Order.

AWD.TECH reserves the right to refuse or cancel any Order prior to dispatch, including but not limited to cases involving:

pricing errors;
stock availability issues;
verification failures;
suspected fraud;
sanctions compliance concerns;
export restrictions;
suspected abuse of services;
other legitimate business reasons.

3. CUSTOMER INFORMATION

Customers are responsible for ensuring that all information provided to AWD.TECH is accurate and complete.

AWD.TECH shall not be responsible for losses arising from inaccurate, incomplete or misleading information supplied by the customer, including:

incorrect VIN numbers;
incorrect vehicle specifications;
incorrect delivery information;
incorrect product selection;
omitted vehicle modifications.

4. PRODUCT INFORMATION

Product descriptions, photographs, illustrations and technical information are provided for informational purposes only.

Product images may not always represent the exact appearance of the supplied Product.

Certain Remanufactured Products may display:

restoration marks;
handling marks;
inspection markings;
protective coatings;
cosmetic imperfections;
surface oxidation;
manufacturing or rebuilding traces.

Such characteristics do not constitute defects and do not affect the intended functionality of the Product.

5. PRODUCT COMPATIBILITY

Customers are solely responsible for verifying compatibility prior to installation.

AWD.TECH may provide compatibility assistance based on information supplied by the customer, including VIN numbers, vehicle specifications, photographs or technical descriptions.

Such assistance is provided solely as a convenience and does not constitute:

a diagnosis;
a guarantee of compatibility;
a guarantee of suitability;
a guarantee of successful installation.

The customer and installer remain responsible for confirming compatibility before installation.

6. TECHNICAL INFORMATION

Technical information, recommendations and assistance provided by AWD.TECH are informational only.

Such information does not replace:

manufacturer documentation;
workshop procedures;
technical inspection;
professional diagnosis.

AWD.TECH does not perform remote vehicle diagnostics.

7. SOFTWARE-DEPENDENT PRODUCTS

Certain Products may require:

programming;
coding;
adaptation;
calibration;
commissioning;
parameterisation.

The successful operation of such Products may depend on proper completion of these procedures.

AWD.TECH does not warrant successful operation where manufacturer-required procedures have not been completed.

Certain Products may become permanently associated with a vehicle after coding or programming.

Additional requirements applicable to software-dependent Products are described in the Warranty & Technical Claims Policy.

8. PROFESSIONAL INSTALLATION

Many Products supplied by AWD.TECH are technical automotive components requiring professional installation and commissioning.

Customers are strongly encouraged to use suitably qualified workshops.

Where installation is performed by the customer, AWD.TECH may require additional evidence demonstrating that installation and commissioning procedures were correctly performed.

9. MODIFIED VEHICLES

Products supplied by AWD.TECH are intended for vehicles operating within manufacturer specifications.

Vehicles modified through:

software tuning;
power enhancement;
torque enhancement;
transmission programming modifications;
drivetrain modifications;
performance upgrades;

may operate outside those specifications.

AWD.TECH may consider whether such modifications contributed to a reported failure when assessing claims.

10. VEHICLE CONDITION

AWD.TECH Products are supplied on the assumption that the vehicle is otherwise in serviceable condition.

AWD.TECH shall not be responsible for failures resulting wholly or partly from:

pre-existing vehicle defects;
lubrication issues;
contamination;
incorrect fluids;
cooling system defects;
hydraulic system defects;
electrical faults;
drivetrain defects;
software faults;
maintenance deficiencies.

11. PRODUCT IDENTIFICATION AND TRACEABILITY

AWD.TECH may use:

serial numbers;
labels;
identification markings;
inspection markings;
security markings;
photographs;
other traceability measures

to identify Products.

AWD.TECH may create and retain photographic records of Products prior to shipment.

Customers may be required to provide photographs of identification features when submitting claims.

AWD.TECH may be unable to verify Product identity where identification features have been removed, altered, obscured or rendered illegible.

12. FRAUD PREVENTION

AWD.TECH reserves the right to verify Orders prior to dispatch.

Verification measures may include requests for:

identity verification;
address verification;
payment verification;
additional transaction information.

Failure to provide reasonably requested information may result in cancellation of the Order.

13. PRICING AND PAYMENT

All prices are displayed in the currency specified at checkout and may be subject to applicable taxes, duties and other charges unless expressly stated otherwise.

Unless otherwise agreed in writing, full payment must be received before Products are dispatched.

AWD.TECH reserves the right to refuse dispatch until cleared funds have been received.

Customers are responsible for any fees, charges or costs imposed by their payment provider, bank or financial institution.

14. PAYMENT VERIFICATION

AWD.TECH reserves the right to verify payment information and transaction details before dispatch.

Where additional verification is reasonably required, AWD.TECH may request supporting information from the customer.

Failure to provide requested verification information may result in cancellation of the Order and refund of any payment received.

15. CREDIT ACCOUNTS (BUSINESS CUSTOMERS)

Where expressly agreed in writing, Business Customers may be granted credit facilities subject to separate commercial arrangements.

AWD.TECH reserves the right to:

suspend credit facilities;
reduce credit limits;
require advance payment;
suspend deliveries;

where payment obligations are overdue or where AWD.TECH reasonably considers credit risk to have increased.

No credit facility shall be deemed granted unless confirmed in writing by AWD.TECH.

16. LATE PAYMENT

If a Business Customer fails to make payment when due, AWD.TECH may:

suspend deliveries;
suspend credit facilities;
cancel outstanding Orders;
recover reasonable collection costs;
charge statutory late payment interest to the extent permitted by applicable law.

Acceptance of a late payment shall not constitute a waiver of any rights available to AWD.TECH.

17. RETENTION OF TITLE

Title to Products supplied by AWD.TECH shall remain with AWD.TECH until full payment of all amounts owed in relation to the relevant Order has been received.

Until title passes, the customer shall:

keep the Products identifiable;
not remove identification markings;
take reasonable care of the Products.

Nothing in this clause affects the transfer of risk in accordance with the Shipping Policy.

18. COMMUNICATIONS

Customers are responsible for providing a valid email address.

Communications sent to the email address provided by the customer shall be deemed delivered when transmitted unless returned as undeliverable.

AWD.TECH may communicate using:

email;
customer account notifications;
order management systems.

19. ELECTRONIC RECORDS

AWD.TECH may maintain electronic records relating to:

Orders;
communications;
shipments;
serial numbers;
photographs;
diagnostic information;
technical inspections;
claim assessments.

Such records may be used in connection with claim assessment, dispute resolution and fraud prevention.

20. INTELLECTUAL PROPERTY

All content available on AWD.TECH, including text, images, graphics, product information, logos and software, remains the property of AWD.TECH or its licensors and may not be reproduced without permission.

21. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

To the fullest extent permitted by law, AWD.TECH shall not be liable for:

installation costs;
removal costs;
workshop labour charges;
diagnostic costs;
programming costs;
coding costs;
adaptation costs;
calibration costs;
towing expenses;
vehicle rental costs;
loss of use;
loss of profits;
business interruption;
indirect losses;
consequential losses.

22. CONSUMER RIGHTS

Nothing in these Terms affects mandatory consumer rights available under applicable law.

Consumers retain all statutory remedies available under applicable consumer protection legislation.

23. BUSINESS CUSTOMERS

Business Customers acknowledge that commercial transactions may be subject to separate terms, manufacturer policies and commercial warranty arrangements.

AWD.TECH may assist Business Customers in presenting claims to manufacturers, suppliers or remanufacturers but does not guarantee claim acceptance by any third party.

24. GOVERNING LAW

These Terms shall be governed by the laws of the Republic of Lithuania, except where mandatory consumer protection laws require otherwise.

25. LANGUAGE

The English version of these Terms shall prevail in the event of any inconsistency between translations.
